Terms of Service.

The rules of using Prolancer. Written in plain language; binding all the same.

These Terms of Service ("Terms") govern your use of Prolancer (the "Service"). By signing up or using the Service, you agree to these Terms.

1. Your account

You're responsible for everything that happens under your account. Keep your login credentials secret, use a unique email per teammate, and don't share accounts. You must be at least 18 and authorized to bind your company to these Terms.

2. Your content

You own everything you put into Prolancer — projects, tasks, files, comments, invoices. We don't claim ownership. We need a limited licence to store, display, transmit, and back up your content for the sole purpose of providing the Service to you.

You're responsible for the content you upload. Don't upload anything you don't have the right to use, anything illegal, or anything that violates someone else's rights.

3. Acceptable use

Don't:

  • Use the Service to send spam, phishing emails, or malware.
  • Attempt to break into other vendor workspaces, run vulnerability scans without written permission, or otherwise compromise the platform.
  • Scrape, mirror, or resell the Service.
  • Use the Service for anything illegal or anything that targets minors.

We may suspend or terminate accounts that violate these rules, with or without notice.

4. Subscription & billing

Prolancer offers a 14-day free trial. We do not ask for a credit card up front, and we will not auto-charge you when the trial ends. If you don't upgrade, your account goes into read-only mode — your data stays safe, you just can't make changes.

If you upgrade to a paid plan, you authorize us to charge your payment method on the billing cycle you chose (monthly or annual). All fees are non-refundable except where required by law. You can cancel anytime from Settings → Billing; cancellation takes effect at the end of the current period.

Sales tax or VAT may be added where applicable.

5. Trial period

The free trial is provided for evaluation. We may modify or end the trial at any time. Activity that suggests trial abuse (creating many trial accounts to avoid paying) is a violation of these Terms.

6. Service availability

We work hard to keep the Service up, but we don't guarantee 100% uptime. Scheduled maintenance, outages from our infrastructure providers, and external incidents will happen. Material outages are communicated by email.

7. Confidentiality

Your workspace contents are confidential. We won't access them except to: (a) provide the Service, (b) investigate abuse or security incidents, (c) comply with a lawful court order, or (d) respond to a support request from you. Our staff who do touch customer data are bound by confidentiality agreements.

8. Termination

You can cancel anytime. We can suspend or terminate your account if you (a) materially breach these Terms, (b) fail to pay, or (c) use the Service in a way that harms other users or the platform.

On termination, your data is soft-deleted immediately and permanently purged within 30 days. You can export your data from Settings → Account before that window closes.

9. Disclaimers

The Service is provided "as is" and "as available". We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement) to the maximum extent allowed by law. We don't warrant that the Service will be error-free, secure, or always available.

10. Limitation of liability

To the extent allowed by law, our total liability for any claim arising out of these Terms or the Service is capped at the greater of: (a) the fees you paid us in the 12 months before the claim arose, or (b) USD 100. We are not liable for indirect, incidental, special, or consequential damages — including lost profits, lost revenue, or lost data — even if we were told they were possible.

11. Indemnity

You agree to indemnify us against claims brought by third parties to the extent they arise from: (a) your content, (b) your use of the Service in violation of these Terms, or (c) your violation of someone else's rights.

12. Governing law

These Terms are governed by the laws of the jurisdiction where Prolancer is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.

13. Changes

We may update these Terms as the product or law evolves. The effective date at the top of the page reflects the last revision. Material changes will be emailed to active accounts at least 30 days before they take effect; continued use after the effective date constitutes acceptance.
